Terms of Service Agreement

Welcome to Dynasty Trade Calculator, LLC

This Terms of Service Agreement (“Agreement”) is a legally binding contract between you (“User”, “Subscriber”, “you”, “your”) and Dynasty Trade Calculator, LLC (“Company”, “we”, “us”, “our”) regarding your access to and use of the Dynasty Trade Calculator website and its associated services, tools, and content (collectively, the “Service”). By accessing, browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by the following terms and conditions, including any additional guidelines and future modifications (the “Terms”).

If you do not agree to these Terms, you are not authorized to use the Service.

1. Description of Service

The Service provides users with access to a sophisticated dynasty fantasy football trade calculator and a GenAI 1-way chatbot named ChatDTC (collectively, the “Tools”). These Tools offer third-party current open market player values in a calculator format to assist users in evaluating hypothetical trade scenarios by providing numerical and qualitative commentary using data from our partners.

2. Eligibility

The Service is available to individuals of all ages and geographies. By using the Service, you represent and warrant that you are legally capable of entering into binding contracts.

3. Subscription Terms and Billing

3.1 Subscription Options

The Service is offered through three subscription models, billed on a monthly basis as follows:

Calculator with 5 ChatDTC credits: $2.99/month
Calculator with 5 ChatDTC credits: $29.99/year
Calculator with 50 ChatDTC credits: $4.99/month
Calculator with 100 ChatDTC credits: $6.99/month
Calculator with 200 ChatDTC credits: $9.99/month

3.2 Legacy Members

Users with an active subscription as of February 1, 2024 (“Legacy Members”), are entitled to downgrade to their original legacy plan at any time. All other subscribers may only downgrade to the $2.99 pricing tier from higher-priced options.

3.3 ChatDTC Credit Expiration

ChatDTC Credits expire after one month, and do not roll over. Credits a replenished if your account is set to auto renew, otherwise your subscription will expire and will need to be manually renewed. If you need more credits added to your plan before the month is over, you’ll need to upgrade to a higher credit plan. We currently do not offer top-offs, but plan to in the near future.

4. User Conduct

Users of the Service agree to not engage in the following prohibited activities:

Unauthorized sharing of account credentials;
Manipulation of billing or credit balances;
Any form of attack on the Service’s integrity or security;
Unauthorized copying or dissemination of any user or customer data.

5. Data Privacy and Security

Your privacy is important to us. The Company employs encryption and other security measures to protect user identities and personal information. We do not engage in the sale of user financial data.

6. Intellectual Property Rights

6.1 Ownership

All content, materials, and intellectual property associated with the Service are the exclusive property of Dynasty Trade Calculator, LLC, with the exception of:

Data utilized by ChatDTC, which remains the property of the respective data partners;
Player news sourced from Fantasy Pros;
Trade data and roster information obtained from MyFantasyLeague.com, Fleaflicker, and Sleeper.

6.2 Product and Feature Discontinuation

We reserve the right to discontinue any product, service, or feature provided by Dynasty Trade Calculator, LLC at any time without notice. This includes the ability to cease offering or supporting any aspect of the Service or to modify any features, functionalities, or aspects of the Service at our discretion.

6.3 License to Users

Subject to your compliance with these Terms, the Company grants you a non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

7. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. DYNASTY TRADE CALCULATOR, LLC DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE ACCURACY, RELIABILITY, AND COMPLETENESS OF THE SERVICE, DATA, OR CONTENT PROVIDED THROUGH THE SERVICE.

IN NO EVENT SHALL DYNASTY TRADE CALCULATOR, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE SERVICE OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICE.

8. Dispute Resolution

Any disputes arising out of or related to these Terms or the Service shall be addressed promptly through our “Contact Us” page. The Company aims to resolve any disputes amicably and efficiently.

9. Amendments

Dynasty Trade Calculator, LLC reserves the right, at its sole discretion, to modify or replace these Terms at any time. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised terms.

10. Termination and Suspension

The Company reserves the right to suspend or terminate your account and access to the Service without notice and liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Service will immediately cease.

11. General Provisions

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is established, without giving effect to any principles of conflicts of law.

11.2 Entire Agreement

These Terms, together with any amendments and any additional agreements you may enter into with Dynasty Trade Calculator, LLC in connection with the Service, shall constitute the entire agreement between you and Dynasty Trade Calculator, LLC concerning the Service. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.

11.3 No Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Dynasty Trade Calculator, LLC’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

11.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Dynasty Trade Calculator, LLC’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. Dynasty Trade Calculator, LLC may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

11.5 Notices

Any notices or other communications provided by Dynasty Trade Calculator, LLC under these Terms, including those regarding modifications to these Terms, will be given: (i) by Dynasty Trade Calculator, LLC via email; or (ii) by posting to the Service. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.

12. Refund Policy

Dynasty Trade Calculator, LLC provides refunds on a case-by-case basis at its sole discretion. If you believe you are entitled to a refund, please submit your request through our “Contact Us” page, providing a detailed explanation of your reason for requesting a refund. All decisions regarding refund requests are final and binding.

By using the Service, you acknowledge that you have read these Terms of Service in their entirety, understand them, and agree to be bound by all of their terms and conditions. If you do not agree to these terms, you must cease use of the Service immediately.
